Welcome to TLNT Platform.
TLNT Management FZCO, a company registered in Dubai, United Arab Emirates (“TLNT”, “we”, “us”, “our”), provides the TLNT website
(the “Site”) and the TLNT mobile software application (the “App”), which together constitute a technology platform designed to facilitate discovery, promotion, and booking interactions between performers, event-related service providers, musicians, agents, promoters, planners, and other industry participants (the "Platform").
TLNT operates solely as a neutral technology platform facilitating connections between independent parties.
TLNT is not a party to any agreements or transactions concluded between users.
Please read these Terms carefully.

1. Acceptance of Terms
a. By installing, accessing, or using the App, Site, or Services, you agree to be bound by these Terms.
If you do not agree, you must discontinue use of the App, Site, and Services.
b. These Terms constitute the entire agreement between you and TLNT.
c. Separately and in addition to these Terms, when using certain Services, you may be subject to additional terms imposed by TLNT’s partners (“Partners”). In the event of any conflict between such additional terms and these Terms, these Terms shall prevail unless
expressly stated otherwise.
d.If any provision of these Terms is held to be invalid or unenforceable, such provision shall be interpreted to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effects.
e. The rights and obligations under these Terms apply to the fullest extent permitted by law. Nothing in these Terms limits any non-excludable rights under the laws of the United Arab Emirates.
f. TLNT may revise these Terms from time to time to reflect new features & functionalities, or changes in applicable laws. Revised Terms shall become effective upon publication. Continued use of the App, Site, or Services constitutes acceptance of the updated Terms.
General Provisions
g. You may not assign or transfer your rights or obligations under these Terms without TLNT’s prior written consent. TLNT may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or third party in connection with a merger, sale,
acquisition, restructuring, or similar transaction.
h. Failure or delay by TLNT to exercise any right shall not constitute a waiver.
i. Any waiver of rights must be made expressly in writing by TLNT.

2. Availability of the Platform and Disclaimers
j. TLNT continuously strives to maintain a reliable, secure, and high-quality platform experience.
However, as a technology platform, certain aspects of the Site, App, or Services may occasionally be unavailable, interrupted, or subject to technical limitations.
k. TLNT does not guarantee uninterrupted access, error-free operation, or compatibility with all devices, systems or networks.
l. Platform functionality, features & Services may evolve, improve or change over time at TLNT’s discretion.
m. To the fullest extent permitted by law, TLNT shall not be responsible for indirect losses, business interruptions, technical disruptions or outcomes arising from interactions between users.
Account Registration
a. To access certain features of the Platform, you must register for an Account via the App and provide the required information.
b. You agree that all information provided during registration and throughout your use of the Platform shall be:
• truthful
• accurate
• current
• complete
c. TLNT reserves the right, at it’s discretion, to request verification or supporting documentation, or additional information where reasonably required.
d. You are responsible for maintaining the accuracy of your Account information.
If your contact details or other relevant information change, you must update them promptly.
Security & Credentials
You are solely responsible for:
• maintaining Account security
• safeguarding your credentials
• all activity conducted under your Account
Unauthorized Access Shield
TLNT shall not be liable for any losses, damages, or consequences arising from unauthorized access to your Account resulting from your failure to maintain the confidentiality of your credentials.
Account Activation
Your Account becomes active upon successful registration and acceptance of these Terms.
3. Platform Usage
Profile & Identity
To maintain professional standards and Platform integrity, users may be required to provide accurate profile information,
including a clear and identifiable profile image where applicable.
TLNT reserves the right to restrict or suspend accounts failing reasonable identity or profile standards.
Account Usage
Accounts are personal and non-transferable.
User may not:
• sell
• lease
• share
• transfer access
without TLNT’s prior consent.
c. Platform Integrity
User agree to refrain from:
• fraudulent behaviour
• misrepresentation
• abuse of platform features
• actions that disrupt platform operations
4. User Interactions & Engagements
Independent Relationships
All engagements, agreements, negotiations, and transactions are concluded directly between users.
TLNT is not a party to any such arrangements.
No Performance Guarantee
TLNT does not guarantee:
• bookings
• contracts
• revenues
• service outcomes
• user conduct
Disputes Between Users
Users are solely responsible for resolving disputes arising from interactions facilitated through the Platform.
TLNT bears no responsibility for such disputes.
5. Account Restrictions & Suspension
TLNT reserves the right, at its discretion, to:
• suspend accounts
• restrict access
• remove profiles
• terminate services
where reasonably necessary to protect platform integrity, users, or compliance obligations.
6. Platform Fees
TLNT may introduce service fees, platform charges, commissions, or transaction-related costs.
Applicable fees shall be clearly communicated within the Platform.
All payments, agreements, and financial arrangements between users are conducted directly between the respective parties.
TLNT is not a party to transactions between users and bears no responsibility for:
• payment disputes
• failed transactions
• chargebacks
• financial losses arising between users
Refund Policy
Unless expressly stated otherwise:
Platform fees are non-refundable.
TLNT bears no responsibility for refunds arising from agreements.
Pricing Adjustments
TLNT reserves the right, at its discretion, to introduce or adjust pricing structures, fees, or charges.
TLNT retains the right to collect applicable platform commissions where transactions are facilitated through the Platform.
Updated fees shall apply upon publication within the Platform.
Continued use of the Platform constitutes acceptance of such adjustments.
Taxes
Users are solely responsible for any applicable taxes and regulatory obligations arising from their activities on the Platform.
7. Promotions & Platform Updates
a. TLNT may introduce promotional features or partnerships.
b. Promotions are subject to these Terms and promotion-specific conditions.
c. TLNT reserves the right to modify or terminate promotions.
d. Third-party promotions are governed by third-party terms.
8. User Conduct
Users must maintain professional and respectful behaviour.
Harassment, threats, abusive conduct, or disruptive behaviour are strictly prohibited.
9. Reputation & Brand Protection
Users may not engage in conduct that may harm TLNT’s reputation, integrity, or Platform environment.
10. Privacy
Your privacy is important to TLNT.
By using the Platform, you agree to data collection and processing under the TLNT Privacy Policy.
11. Third-Party Content
TLNT does not control or assume responsibility for Third-Party Content.
Interactions with Third-Party Content occur at your own discretion and risk.
Force Majeure
TLNT shall not be liable for failure or delay in performance resulting from events beyond its reasonable control,
including but not limited to:
• acts of God
• government actions
• war
• terrorism
• strikes
• network failures
• infrastructure disruptions
• technical force majeure events
12. Ownership & Intellectual Property
The TLNT Platform is owned and operated by TLNT Management FZCO.
TLNT is a registered trademark.
All intellectual property rights remain exclusively owned by TLNT or its licensors.
Users receive a limited, non-exclusive, revocable license.
Unauthorized copying, reproduction, or exploitation is prohibited.
Restrictions
Users may not copy, reproduce, distribute, modify, reverse-engineer, or commercially exploit any part of the Platform without prior authorization.
Brand Protection
Nothing in these Terms grants rights to use TLNT’s trademarks, branding, or intellectual property outside permitted Platform use.
Content Control
TLNT reserves the right, at its discretion, to remove, edit, restrict, or refuse any content or profiles where reasonably necessary.
Limitation of Liability
TLNT operates solely as a technology platform.
To the fullest extent permitted by law, TLNT shall not be liable for:
• user interactions
• agreements between users
• booking outcomes
• business losses
• indirect or consequential damages
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
14. User Responsibility & Indemnification
User Responsibility
Users acknowledge and agree that:
• TLNT operates solely as a technology platform
• All decisions, engagements, agreements, and transactions are made independently by users
• Users are solely responsible for their actions, representations, services, and obligations
TLNT does not supervise, control, or guarantee user conduct, performance, or outcomes.
Indemnification
You agree to defend, indemnify, and hold harmless TLNT, its management, affiliates, officers, and partners from and against any claims, liabilities, damages, losses, costs, or expenses arising out of:
• your use of the Platform
• your interactions with other users
• agreements or arrangements concluded by you
• violation of these Terms
• violation of applicable laws or third-party rights
Platform Role Protection
Users expressly acknowledge that TLNT:
• is not a service provider
• is not an employer, agent, or contractor of users
• is not responsible for user services, performance, cancellations, or disputes
All services are provided exclusively by independent users.
Limitation of Platform Exposure
To the fullest extent permitted by law:
Users waive any claims against TLNT arising from disputes, damages, losses, or liabilities resulting from user engagements, transactions, or platform-facilitated interactions.
